The Thai–British Buddhist Association (Wat Sriratanaram)

this document, any masculine gender reference will be deeded to include the feminine.
The laws which apply to this organization are those applicable to
England
& Wales.
THIS
DECLARATION OF ASSOCIATION is made on the Ninth Day of April 2006 by:
Venerable Phramaha Paganon Pilapan (The Abbot of the Wat Sriratanram Monastery)
and
Mrs Peanporn Beddard
and Mr Kovit Nakornjarupong,Mrs
Thanaporn Powis
and Mrs Thongmark Billington
and Mrs Bunsai Gibbons and Mrs Saisuree Harvey
(Hereinafter called ‘The committee)
1. It
has been resolved to constitute a Association for the charitable objects hereinafter declared, and
2. The member of Association has raised a sum of £ 20 and intends to raise other
funds
funds and accept gifts for the said objects.
NOW THIS
DEED WITHNESSETH AND IT IS HEREBY AGREED AND CLARED AS FOLLOWS:
The Name of the Association
- The name of the Association shall be The Thai-British ฺBuddhist
Association (Wat Sriratanaram) Association (hereinafter called “the
Wat Sriratanaram”). (Or such other name as the Associationees may from time to time decide with the approval of
the association commissioners)
The Objects
of the Association
2. The objects of the Association are:
2.1. To establish the advancement of the Buddhist religion and Thai culture in the city of
Manchester and elsewhere.
2.2. To provide the means of promoting a greater mutual understanding of Thai and British cultures.
2.3. To provide Thai Language, and English language teaching to those who need it.
2.4. To procure and
provide information; print, public issue and circulate gratuitously of otherwise; reports, periodicals, pamphlets
or other documents relating to Buddhist topics.
2.5. To provide sacred Buddhist objects for the public benefit.
Powers of the Association
- In addition to any other powers which they have, the
Associationees may exercise the following powers in further their objects:
- 3.1The power to raise funds and to invite and receive contributions, which in raising funds the
member shall not undertake any substantial permanent
trading activities.
- 3.2The power to buy, take on lease or in exchange, any property, and to maintain and equip it for
use.
- 3.3The power to sell, lease, or otherwise dispose of, all or any part of the association’s
property, subject to complying with the restriction on disposals imposed by section
36 of the charities act 1993, unless the disposal is excepted from these restrictions by section 36 (9) (b) or (c) or section
36 (10) of that act.
3.4.The power to borrow and to mortgage
all, or any part of the association’s property, as security for repayment of the money borrowed, subject to complying
with the restriction on mortgages imposed by section 38 of the charities act
1993.
3.5.
The power to invite the funds of the association in any of the investments for the time being authorised for the investment
of association funds.
Accounting/
Banking
- The Associationees shall comply with the accounting requirements of the charities act 1993, revenants
to the income/expenditure level of their association, with regard to:
4.1. The keeping of accounting records of the association.
4.2. The preparation of annual statements of account for the association.
4.3. The auditing, or independent examination, of the statement of account of the association; and
4.4. The preparation of an annual report and the sending of it together with the statement
of account to the association commission.
4.5.
The bank account in which any assets of the Association are deposited.
4.5.1.
Shall be operated by the Associationees and
4.5.2.
Shall be held in the name of the Association.
4.6. All cheques and orders for the payment of money from such account
shall be signed by the Treasurer, one other the chairman and by the abbot of the (Wat Sriratanararm)
Composition/conduct
of the Association
4. The Association shall be composed of, and conduct itself as follows:
5.1 At any time there shall be at least four and not more than ten trustee.
5.2 The Associationees shall all be practicing Buddhists.
5.3 It is desirable, though not essential
that at any one time, at least two of the Associationees
shall be members of the Thai community.
5.4 All documentation to do with the Association, and all Association meetings will, however,
is
conducted in the Thai language and English language.
5.5 The Abbott of the (Wat Sriratanararm shall be an ex-officio Associationee, and shall
have
the following rights
5.5.1.To call meeting of the Association, in accordance with clause
5.5.2. To sign cheques drawn on the Association account, in accordance with
clause 4.6
5.6 The Associationees
may from time to time ask other advisors to attend meetings as required
to give particular advice.
5.7 The Association
will may invite various person (s) to be patron(s) of the Association
5.8 The association
will appoint some person to act as honorary secretary of the Association,
and some person to act as honorary treasurer of the Association. Such persons
may be
(but need not be) Associationees.
5.9 The Associationees
shall elect one of their numbers to act as chairman, who will preside at
all meetings. Unless he is absent, in which case the Associationees present
will elect a
temporary chairman for the duration of that meeting only.
5.10 The association will hold meeting as and when necessary, but not less than three times
per year.
5.11 At least half the number of Associationees present at a meeting will form a quorum,
such a meeting shall be competent to exercise all or the powers vested in the Associationees.
5.12 The chairman may at any time, the Abbott of (Wat Sriratanararm may at any time or
two Associationees jointly may at any time cause the honorary secretary to convene a meeting of the Associationees.
5.13 Notice of every meeting shall be posted to each Associationee ten days in advance
of the meeting, stating the venue, date and time of the meeting, and time of the meeting, and an agenda of the business to
be transacted thereat.
5.14 Question arising at any meeting shall be decided by a simple majority of those Associationees
present, each Associationee present having one vote. In the case of equality the chairman alone will have a (second) casting
vote.
5.15 The power of the Associationees to appoint a new Associationee shall be exercised
in the following manner:
5.15.1. The new Associationee shall be appointed by a majority of the Associationees present
and voting at a Association’s meeting.
5.15.2. The appointment of a new Associationees shall be recorded by a memorandum signed and
sealed the person presiding at such meeting and attested by two other persons present thereat.
5.15.3. The appointment of the new Association shall not take effect until the new Associationee
has singed an endorsement on the said memorandum to the effect that he accepts the appointment and is willing to act as an
Associationee.
5.16 Any of member Association who
5.16.1 Ceases to be a Buddhist, or
5.16.2 Who is incapacitated from acting, or
5.16.3 Who is adjudged bankrupt, or
5.16.4 Makes formal composition or arrangement with his creditors, or 5.16.5 who
becomes permanently resident outside of the United Kingdom,
or
5.16.6 Who is declared by a two thirds majority of the Association to be until
to act as a Associationee, or
5.16.7 Who communicates in writing to the Associationees a wish to resign
shall thereupon cease to be Associationee. As soon as practicable thereafter, the surviving Associationees shall discharge
him by resolution and such discharges shall be recorded by a memorandum signed and sealed by the person presiding at the meeting and attested by two other person present thereat.
5.17 The association
shall cause proper minutes to be kept of the proceedings of all meetings. There minutes may be in the form of computer documents,
providing;
5.17.1. A
new document is created for the minutes of each meeting, being identified by the date of the meeting
5.17.2. A
hard copy of each set of minutes is produced at the following meeting, this copy to be signed by the Chairman of the meeting,
and kept in a suitable book
5.18 Any minutes of any meeting, signed by the Chairman, will be conclusive evidence of the matters stated and decisions
made at that meeting.
Associationees
Personal Interests
6. Except
with the prior written approval of the Association Commissioners no association may:
6.1 receive any benefit in money or in kind from the association; or
6.2 have a financial interest in the supply of the association (except in order
to hold it as a associationee of the association)
Dissolution
7. If the member of association decides that it is necessary or advisable
to dissolve the association, they shall realize any assets held by or on behalf of the association. Any assets remaining after
the satisfaction of any proper debts and liabilities shall be given or transferred by the association member to the Buddhavihara
Temple, Kings Bromley, or to such other charitable institution or institutions having object similar to the object of the
association as the association may decide, or failing that, shall be applied by the association for some other charitable
purpose.
Powers of
Amendment
8. The Committee member may amend the provision contained in Part 2 of this constitution
may
be amended that any such amendment is made by resolution
passed by a simple majority of the members present and voting at a
general meeting.
Annual General Meeting
9.
This is the meeting where the Committee reports on the activities of the previous year, then resigns. The new Committee is
then elected.
9.1 There shall be an Annual General Meeting held every 12 months. At which the Committee reports
on its work, presents a statement of accounts, then resigns.
9.2 The Annual General Meeting shall elect a new Committee, vote on recommendations and any amendments
to the constitution.
9.3 The Secretary will notify all
members of the date of the meeting not less than fourteen days before the Annual General Meeting.
Other General meetings
a) A special or extraordinary general meeting open to all members will
be held if two thirds or more members submit in writing a request for such a meeting to the Secretary. The Secretary shall
arrange for the meeting to take place within fourteen days.
b) The secretary will publicise all general meeting at least
five days in advance.
